Sponsored Listing Terms

1. Agreement

These Terms of Sale govern the purchase and provision of Sponsored Listings in the neurobetter Services Directory. By purchasing a Sponsored Listing, you (the "Provider") agree to be bound by these Terms.

These Terms should be read alongside:

Any person agreeing to these Terms warrants that they are authorised to do so on behalf of the Provider organisation.

2. Definitions

2.1 Key Terms

"Agreement" means the agreement for the provision of a Sponsored Listing formed when you complete the purchase process and we accept your payment.

"Content Guidelines" means the guidelines for Provider content, which form part of the neurobetter Community Guidelines.

"Fees" means £300 plus VAT per Sponsored Listing per year, or such other fees as may be agreed in writing.

"Member" means an individual who has registered for membership of neurobetter in accordance with the Member Terms and Conditions.

"neurobetter" means neurobetter, a charity and company limited by guarantee registered in England and Wales (Charity Number: 1210347, Company Number: 15612856), whose registered office is at Ground Floor, Kings House, 101-135 Kings Road, Brentwood, Essex, CM14 4DR (also referred to as "we", "us" or "our").

"Provider" means any healthcare provider, mental health service, charity, support service or other organisation purchasing a Sponsored Listing (also referred to as "you" or "your").

"Renewal Date" means the anniversary of the date on which your Sponsored Listing went live, or such other date as may be agreed in writing.

"Services Directory" means the searchable directory of services and providers on the neurobetter website.

"Sponsored Listing" means an enhanced provider listing in the Services Directory, as described in Section 4 below.

"Website" means https://neurobetter.org and any associated subdomains or platforms through which neurobetter services are provided.

2.2 Interpretation

Where the context admits or requires, the singular shall include the plural and the masculine shall include the feminine.

3. Term and Renewal

3.1 Initial Term

The Agreement commences on the date your Sponsored Listing goes live and continues for a period of 12 months unless terminated earlier in accordance with these Terms.

3.2 Automatic Renewal

Unless either party gives at least 60 days' written notice prior to the Renewal Date, the Agreement will automatically renew for successive 12-month periods on the same terms.

3.3 Renewal Fee Increases

The Fee shall increase each year on 1st July by 3%. neurobetter may also revise the Fees with 30 days' written notice, with changes taking effect from the next Renewal Date.

4. Sponsored Listing Features

4.1 What's Included

Your Sponsored Listing includes the following features (subject to change as neurobetter develops the platform):

Enhanced Profile:

  • Extended description
  • Logo and branding
  • Multiple images
  • Video content (if applicable)
  • Contact information (phone, email, website, social media)
  • Opening hours and location details
  • Services offered and specialties
  • Pricing information (if applicable)
  • Staff profiles (if applicable)

Enhanced Visibility:

  • "Sponsored" badge on your listing
  • Priority placement in search results within your category and location
  • Featured placement in relevant sections of the Services Directory

Reviews and Ratings:

  • Display of member reviews and ratings
  • Ability to respond to reviews

Analytics:

  • Basic statistics on listing views and clicks (if available)

4.2 Features Subject to Development

neurobetter is a developing platform. Features may be added, modified or removed as we develop our services. We will notify you of significant changes that affect your Sponsored Listing.

4.3 No Exclusivity

A Sponsored Listing does not provide exclusivity. Other providers offering similar services may also purchase Sponsored Listings in the same geographic area or service category.

4.4 Not an Endorsement

Important: A Sponsored Listing does not constitute an endorsement or recommendation by neurobetter. All Sponsored Listings are clearly marked as "Sponsored" to distinguish them from organic listings.

5. Provider Obligations

5.1 Accurate Information

You agree to:

  1. Provide accurate, truthful and complete information about your services
  2. Keep your listing information up to date
  3. Promptly notify neurobetter of any material changes (e.g., change of address, services offered, closure)
  4. Not make false, misleading or exaggerated claims
  5. Comply with all advertising standards and regulations applicable to your profession

5.2 Professional Standards

You warrant that you:

  1. Are properly qualified, registered and/or accredited to provide the services you advertise (where applicable)
  2. Hold appropriate professional indemnity insurance
  3. Comply with all laws and regulations applicable to your services
  4. Have all necessary licenses, permits and registrations
  5. Comply with applicable professional codes of conduct and ethical standards

5.3 Content Compliance

You agree that all content you provide for your Sponsored Listing will:

  1. Comply with the neurobetter Content Guidelines
  2. Not contain offensive, discriminatory or inappropriate material
  3. Respect intellectual property rights (you must have the right to use all images, text and other content)
  4. Be appropriate for a mental health and neurodivergence support context
  5. Not contain content that could be triggering or harmful to vulnerable individuals

5.4 Member Interactions

You agree to:

  1. Respond professionally and promptly to enquiries from Members
  2. Treat all Members with respect and dignity
  3. Comply with data protection laws when handling Member information
  4. Not use Member contact information for marketing purposes without explicit consent
  5. Maintain appropriate professional boundaries

5.5 Safeguarding

You acknowledge that neurobetter serves vulnerable individuals, including people with mental health conditions and neurodivergence. You agree to:

  1. Take safeguarding seriously in all interactions with Members
  2. Report any safeguarding concerns to neurobetter immediately at safeguarding@neurobetter.org
  3. Comply with applicable safeguarding policies and procedures
  4. Not exploit, abuse or take advantage of vulnerable individuals

5.6 Reviews and Complaints

You agree to:

  1. Accept that Members may leave reviews and ratings
  2. Not attempt to manipulate reviews or ratings
  3. Not incentivise or coerce Members to leave positive reviews
  4. Not post fake reviews
  5. Respond professionally to negative reviews
  6. Handle complaints in accordance with your professional obligations

You may request removal of reviews that are:

  • False or defamatory
  • In breach of data protection or confidentiality
  • In breach of the Content Guidelines

For defamatory content or formal takedown requests, contact legal@neurobetter.org. We will investigate such requests and make decisions at our discretion.

6. Verification and Approval

6.1 Verification Process

Before your Sponsored Listing goes live, neurobetter will verify:

  1. Your organisation exists and is trading
  2. Contact details are accurate
  3. Professional registrations/accreditations (where applicable)
  4. Basic credentials and legitimacy

6.2 Approval

neurobetter reserves the right to:

  1. Refuse any application for a Sponsored Listing
  2. Request additional information or documentation before approval
  3. Approve your Sponsored Listing subject to modifications to content

6.3 Ongoing Verification

neurobetter may conduct periodic re-verification checks and may request updated documentation.

6.4 Not a Quality Endorsement

Verification confirms basic legitimacy only. It does not constitute an endorsement of quality, suitability or outcomes.

7. Fees and Payment

7.1 Standard Fee

The standard fee for a Sponsored Listing is £300 plus VAT per year (currently £360 including VAT at 20%).

Important: Each Sponsored Listing covers one Area as defined in the neurobetter Services Directory (see https://neurobetter.org/what-we-do/local-services). Listings are available for multiple areas, or for services provided remotely, with pricing available on request by emailing sales@neurobetter.org.

7.2 Payment Terms

  1. Payment is due in advance at the start of each 12-month term
  2. Payment must be made within 30 days of the invoice date
  3. Payment is processed securely via Stripe
  4. We accept major credit and debit cards

7.3 VAT

All fees are exclusive of VAT, which will be charged at the applicable rate (currently 20%).

7.4 Late Payment

If payment is not received within 14 days of the invoice date, neurobetter may:

  1. Suspend your Sponsored Listing (reverting it to a free basic listing)
  2. Charge interest at the rate of 4% per annum above the Bank of England base rate
  3. Terminate the Agreement

For the avoidance of doubt, you remain liable for payment of Fees during any period of suspension.

7.5 No Set-Off

You may not set off any claims against neurobetter against Fees due.

8. Refunds and Cancellation

8.1 Cooling-Off Period (14 Days)

You have 14 days from the date of purchase to change your mind and cancel for a full refund.

To exercise this right, contact sales@neurobetter.org before the 14-day period expires.

Note: If your Sponsored Listing goes live during the 14-day period, you consent to supply of the service beginning before the cooling-off period ends, and you acknowledge that your right to cancel will end once the service has been fully performed.

8.2 Cancellation After 14 Days

After the 14-day cooling-off period:

  1. You may cancel by giving 60 days' written notice before the next Renewal Date
  2. Cancellation takes effect at the end of the current term
  3. No refunds are provided for partial terms

8.3 Early Termination by You

If you wish to terminate before the end of a term (other than during the 14-day cooling-off period):

  1. You must give written notice to sales@neurobetter.org
  2. Your Sponsored Listing will be downgraded to a free basic listing
  3. No refund will be provided for the remaining term
  4. You remain liable for any outstanding Fees

8.4 Termination by neurobetter

neurobetter may terminate your Sponsored Listing immediately without refund if:

  1. You breach these Terms materially
  2. You breach the Content Guidelines
  3. You engage in fraudulent or illegal activity
  4. Your professional registration/accreditation is revoked
  5. We receive serious complaints about your services that raise safeguarding concerns
  6. Continuing to list your services would pose a risk to Members

neurobetter may also terminate with 60 days' written notice for any other reason.

8.5 Suspension

neurobetter may temporarily suspend your Sponsored Listing while investigating:

  1. A potential breach of these Terms
  2. Complaints about your services
  3. Safeguarding concerns

Suspension does not relieve you of the obligation to pay Fees.

9. Content and Intellectual Property

9.1 Your Content

You retain ownership of all content you provide for your Sponsored Listing (text, images, logos, etc.).

By providing content, you grant neurobetter a non-exclusive, worldwide, royalty-free license to:

  1. Display the content in your Sponsored Listing
  2. Include the content in search results, newsletters, and promotional materials for the Services Directory
  3. Use your logo and name to promote neurobetter's services (e.g., "Browse services from providers including [Your Name]")

9.2 Our Content

All rights to the Website, Services Directory, and neurobetter branding are owned by neurobetter and/or its licensors.

You may not:

  1. Use neurobetter's name, logo or branding without written permission (except to state factually that you have a Sponsored Listing)
  2. Claim endorsement by neurobetter
  3. Imply a partnership or special relationship with neurobetter beyond the Sponsored Listing

9.3 Removal Rights

neurobetter may remove or edit any content that:

  1. Breaches these Terms or the Content Guidelines
  2. Is inaccurate or misleading
  3. Infringes intellectual property rights
  4. Is inappropriate for our platform

10. Liability

10.1 Your Responsibility

You are solely responsible for:

  1. The services you provide to Members and any other clients
  2. Your professional conduct and competence
  3. Any harm caused by your services
  4. Compliance with all applicable laws and professional standards
  5. Your own insurance and indemnities

10.2 Indemnity

You shall indemnify neurobetter for any and all claims, losses, liabilities, damages or costs arising from:

  1. Services you provide to Members
  2. Content you provide for your Sponsored Listing
  3. Your breach of these Terms
  4. Your breach of applicable laws or professional standards
  5. Complaints or disputes with Members or other service users

10.3 Our Liability

No Guarantees: neurobetter makes no guarantees regarding:

  • The number of views, clicks or enquiries you will receive
  • The quality or suitability of Members who contact you
  • Business outcomes or return on investment

Platform Provision: We provide the platform for you to advertise your services. We do not:

  • Guarantee uninterrupted availability of the Website
  • Guarantee any particular level of traffic or enquiries
  • Vet Members who contact you
  • Participate in or mediate disputes between you and Members

Exclusion: To the fullest extent permitted by law, neurobetter shall not be liable for:

  • Loss of profits, business or opportunity
  • Indirect or consequential losses
  • Any losses arising from use of the Sponsored Listing
  • Technical failures or Website unavailability

Maximum Liability: In any event, neurobetter's total liability to you under this Agreement shall not exceed the Fees paid by you in the 12 months prior to the claim.

10.4 Liability We Cannot Exclude

Nothing in these Terms excludes or limits liability for:

  1. Death or personal injury caused by negligence
  2. Fraud or fraudulent misrepresentation
  3. Any other liability which cannot be excluded or limited by law

11. Data Protection

11.1 Data Controllers

For the purposes of data protection law:

  1. You are the data controller for any personal data of Members or clients you collect through enquiries or provision of your services
  2. neurobetter is the data controller for data about your organisation and your users of the neurobetter platform

11.2 Member Data

When Members contact you through the Services Directory:

  1. Their contact information is provided with their consent
  2. You must use it only for responding to their enquiry
  3. You must comply with UK GDPR and data protection laws
  4. You must not use it for marketing without explicit consent
  5. You must handle it in accordance with your own privacy policy

11.3 Confidentiality

You must keep confidential any information you learn about Members through your Sponsored Listing or provision of services, in accordance with your professional obligations and data protection law.

11.4 Analytics

neurobetter may provide you with anonymised or aggregated analytics about your Sponsored Listing performance. This data is provided for your information only and remains the property of neurobetter.

12. Service Levels and Availability

12.1 Best Efforts

neurobetter will use reasonable endeavours to:

  1. Keep the Website operational and accessible
  2. Process updates to your Sponsored Listing within a reasonable timeframe
  3. Respond to support enquiries within a reasonable timeframe

12.2 No Guarantee of Uptime

We do not guarantee 100% uptime. The Website may be unavailable due to:

  1. Scheduled maintenance
  2. Emergency repairs
  3. Technical failures
  4. Circumstances beyond our control

12.3 No Extension for Downtime

Brief periods of downtime (less than 48 consecutive hours) do not entitle you to an extension of your term or a refund.

If the Website is unavailable for more than 48 consecutive hours due to our fault, we will extend your term by the period of unavailability.

13. Changes and Updates

13.1 Changes to Features

neurobetter may modify, add or remove Sponsored Listing features as we develop the platform. We will provide reasonable notice of significant changes.

13.2 Changes to Terms

neurobetter may update these Terms to:

  1. Comply with legal or regulatory changes
  2. Reflect changes in our services
  3. Address unforeseen circumstances or security risks

We will notify you of significant changes by email or prominent notice on the Website. Changes take effect from the next Renewal Date unless:

  1. Required immediately by law, or
  2. Necessary to address urgent security or safeguarding risks

13.3 Withdrawal of Service

neurobetter reserves the right to discontinue Sponsored Listings entirely with at least 3 months' notice. In this case, you will receive a pro-rata refund for any unused portion of your term.

14. General Terms

14.1 Entire Agreement

These Terms (together with the documents referred to) constitute the entire agreement between you and neurobetter regarding Sponsored Listings. No other terms apply unless agreed in writing by a director of neurobetter.

14.2 No Partnership

Nothing in these Terms creates a partnership, agency, employment or joint venture relationship between you and neurobetter.

14.3 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

14.4 Waiver

Failure or delay by neurobetter to enforce any provision does not waive our right to enforce it later.

14.5 Assignment

neurobetter may transfer its rights and obligations under these Terms to another organisation. We will notify you if this happens.

You may not transfer your rights or obligations without our written consent.

14.6 Force Majeure

neurobetter shall not be liable for failure to perform due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, internet failures, cyber attacks, or government actions.

14.7 Subcontracting

neurobetter may subcontract any element of the services (including payment processing, hosting, verification) without notice to you.

14.8 Notices

Notices under these Terms must be in writing and sent to:

Notices are deemed received:

  • Email: 24 hours after sending (if sent on a working day)
  • Post: 3 working days after sending by first class mail

15. Disputes

15.1 Complaints

If you have a complaint about our services or a decision we have made, please contact sales@neurobetter.org. We will:

  1. Acknowledge within 2 working days
  2. Investigate and respond within 14 working days

15.2 Good Faith Resolution

Both parties will use best efforts to resolve any disputes through good faith negotiation before resorting to legal action.

15.3 Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales.

15.4 Jurisdiction

The courts of England and Wales shall have exclusive jurisdiction to hear any disputes relating to these Terms.
